DRAFT · NOT YET EFFECTIVE
Research service terms
Client approval is required before access. These original draft conditions describe the proposed AGICY Bio relationship; they do not replace an upstream provider agreement.
1. Approval and scope
Access requires AGICY's express written approval of the client organization, authorized users, research purpose, models and usage limits. A downloaded brief, account registration or payment does not grant approval. Material changes of purpose, organization or intended users require renewed review. Execution remains unavailable during this preview.
2. Authorized research use
The service is intended for approved scientific research. Outputs are computational predictions and may be inaccurate or incomplete. Clients remain responsible for scientific interpretation, laboratory validation, biosafety, ethics approvals and applicable laws. No clinical, diagnostic or therapeutic use is authorized by these draft terms.
3. Third-party access and resale
Clients must not resell, sublicense, share credentials or expose service access to third parties outside their approved organization without AGICY's express prior written approval and any required upstream permission. Approved integrations must enforce user access and usage limits. No implied reseller right is granted.
4. Prohibited conduct
Do not bypass quotas or security controls, access another client's data, reverse engineer proprietary service components, infringe rights, or use the service for unlawful or harmful biological activity. Building or operating a competing hosted service using AGICY service access requires prior written approval. Independently licensed open-source software rights are unaffected.
5. Inputs, outputs and licenses
Clients retain rights they hold in their inputs and must have authority to submit them. Output rights and permitted uses remain subject to applicable model and third-party licenses, disclosed before activation. AGICY receives only the permissions necessary to provide the approved service. Any customer-content training use requires separate explicit authorization.
6. Processing and confidentiality
Before activation, the order or service agreement must identify execution providers, processing regions, retention, deletion and confidentiality arrangements, together with a data-processing agreement where applicable. Japan-hosted processing must not be described as EU-only. Do not submit personal, patient or restricted data without a separately approved arrangement.
7. Credits and usage charges
Final retail prices are not set in this preview. Approved jobs will require disclosed prices, billing units and spending limits. Treasury reservations and final settlement must follow the applicable order. Partial results, canceled jobs, billable model loading and unresolved provider usage must be explained before activation. No compute is purchased through the current brief builder.
8. Suspension and termination
AGICY may restrict access for security threats, suspected misuse, unpaid charges, breach of approved scope or upstream service interruption, with notice where practicable. Clients may request closure and deletion subject to agreed retention and legally required audit records.
9. Contract status
These are proposed Bio-specific service conditions, dated 8 October 2026, for review before launch. They are not an active paid-service agreement. The final contracting entity, order of precedence, liability provisions, applicable law, dispute process and any mandatory customer protections must be established in the signed service agreement before activation.
